Contract Governance

Clear contract intent is critical to effective risk transfer.

Aligned with our advisory‑led broking ethos, Contract Governance is embedded within our Advisory function and works alongside broker colleagues to deliver a holistic view of risk to deliver a consistent and exceptional service.

We provide insight‑driven support, underpinned by data and analytics, to identify trends, risks, challenges, and opportunities across both current and future portfolios. In the context of Contract Governance, this means ensuring that programme intent (whether related to coverage, aggregation, capital relief, or structural design) is fully and effectively reflected in contract terms and conditions.

We work closely with our Actuarial, Catastrophe Modelling, and Global Strategic Advisory teams to ensure that contractual language supports the desired risk transfer outcomes and remains aligned with each client’s strategic, regulatory, and capital objectives.

Our Capabilities

Coverage

We support clients in defining appropriate legal structures, coverage, terms, and conditions, and in understanding the impact of contract language on actuarial forecasts and capital outcomes. This includes identifying and mitigating unintended retentions, inconsistencies between inward and outward portfolios, and misalignment with chosen legal structures.

Our technical support extends to stress‑testing policies in collaboration with actuarial, catastrophe modelling, and claims teams, using claims scenarios and realistic disaster scenario (RDS) simulations.

Legal Trends and Case Law

We maintain a clear understanding of market and legal developments and assess how these trends may affect coverage, pricing, and the overall effectiveness of reinsurance programmes as risk transfer tools. Lessons learned from claims experience are actively fed back into contract reviews, ensuring wordings remain current, robust, and responsive to evolving market practice.

Regulatory and Prudential Considerations

Contract Governance provides technical advice on programme structures and contractual language to support compliance with prudential and regulatory requirements across different jurisdictions and markets. This ensures contracts are fit for purpose in increasingly complex regulatory environments.

Risk Governance

We operate as an extension of our clients’ risk management function, delivering a consistently high standard of service that culminates in contracts designed to reflect specific exposures, structures, and strategic objectives. The result is contract certainty, clarity of intent, and effective risk transfer.
